For nearly 50 years, America’s merger review system has fueled economic growth by offering predictability and fairness. This system has empowered Wyoming Businesses to confidently plan, invest, and innovate. Now, that stability is at risk.


The Federal Trade Commission’s lawsuit against Meta, challenging decade-old acquisitions of Instagram and WhatsApp, isn’t about protecting competition, it’s about rewriting the rules long after the game has ended. This dangerous overreach sends a chilling message, especially to frontier states like Wyoming that depend on certainty in long-term investment.


Since the Hart-Scott-Rodino Act of 1976, mergers have followed a clear process: notify regulators, get reviewed, and if cleared, move forward. Instagram and WhatsApp went through this process and were approved. Demanding a “do-over” now sets an unclear and damaging precedent.


WY It Matters


Wyoming’s economy thrives on entrepreneurship and innovation. Uncertainty discourages growth and stifles investment, which our businesses can’t afford amid existing challenges. On this issue, we stand with the position of the U.S. Chamber of Commerce: fair, predictable processes that respect precedent, encourage growth, and promote innovation.
